Nothing contained in these Terms transfers ownership of any intellectual property rights to the User.

Subject to these Terms, the Company grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for its intended purposes.

The User shall not, without the Company's prior written consent:

58. Confidentiality

Each party shall maintain the confidentiality of Confidential Information received from the other party and shall not disclose such information except:

  • As required by applicable law;
  • With the prior written consent of the disclosing party;
  • To professional advisers under appropriate confidentiality obligations;
  • To competent governmental authorities where legally required.

For the purposes of these Terms, "Confidential Information" includes any non-public business, commercial, technical, operational, financial, customer, pricing, logistics, or security information.

This obligation shall survive termination of these Terms for so long as the information remains confidential under applicable law.

59. Compliance with Applicable Laws

Users shall comply with all applicable laws, regulations, governmental directives, and licensing requirements relating to their use of the Platform and the Services.

Without limitation, Users shall not:

  • Use the Platform for unlawful purposes;
  • Circumvent applicable regulatory requirements;
  • Violate customs, transportation, or trade regulations;
  • Infringe the rights of third parties;
  • Engage in fraudulent or deceptive conduct.

The Company may cooperate with competent authorities in investigating suspected violations of applicable laws.

60. Suspension of Services

The Company may suspend access to the Platform or any Service, with or without prior notice where permitted by law, if it reasonably believes that:

  • The User has breached these Terms;
  • Fraudulent activity is suspected;
  • Payment obligations remain outstanding;
  • Continued access presents security risks;
  • Regulatory requirements necessitate suspension;
  • System maintenance is required;
  • Emergency operational circumstances exist.

Suspension shall not affect the Company's right to pursue any remedies available under these Terms or applicable law.

61. Termination

The Company may terminate or permanently deactivate a User account where:

  • These Terms are materially breached;
  • Fraud or abuse is established;
  • The User repeatedly violates Company policies;
  • Continued access presents legal or operational risks;
  • Required legal or regulatory obligations cannot otherwise be satisfied.

The User may discontinue use of the Platform at any time by closing the account in accordance with the Company's applicable procedures.

Termination shall not affect rights, obligations, liabilities, or accrued claims arising before the effective date of termination.

62. Survival

The following provisions shall survive termination or expiration of these Terms to the extent applicable:

  • Payment obligations;
  • Confidentiality;
  • Intellectual Property Rights;
  • Limitation of Liability;
  • Indemnification;
  • Governing Law;
  • Dispute Resolution;

The Company may assign or transfer its rights and obligations in connection with:

  • Corporate restructuring;
  • Merger;
  • Acquisition;
  • Sale of business assets;
  • Internal group reorganization; or
  • Other lawful corporate transactions,

provided that such assignment does not materially reduce the User's legal rights.

64. Entire Agreement

These Terms, together with the Privacy Policy and any service-specific terms, policies, or written agreements expressly incorporated by reference, constitute the entire agreement between the Company and the User concerning access to and use of the Platform.

They supersede all prior oral or written discussions, representations, understandings, or agreements relating to the same subject matter.

65. Amendments

The Company reserves the right to amend these Terms from time to time.

Material amendments shall become effective upon publication through the Platform or upon notification to Users, as required by applicable law.

Continued use of the Platform after the effective date of the amended Terms constitutes acceptance of such amendments to the extent permitted by law.

66. Severability

If any provision of these Terms is determined by a court or competent authority to be unlawful, invalid, or unenforceable, that provision shall be interpreted to the maximum extent permitted by law or, if necessary, severed.

The remaining provisions shall continue in full force and effect.

67. No Waiver

Failure or delay by the Company to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

A waiver shall be effective only if made expressly in writing by an authorized representative of the Company.

A waiver relating to one breach shall not constitute a waiver of any subsequent breach.

68. Governing Law

These Terms shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia.

Nothing contained in these Terms shall exclude or limit any mandatory rights granted to Users under applicable Saudi law.

69. Dispute Resolution

The parties shall first seek to resolve any dispute arising out of or relating to these Terms through good-faith negotiations.

If the dispute cannot be resolved within a reasonable period, either party may refer the dispute to the competent courts of the Kingdom of Saudi Arabia, unless the parties have separately agreed in writing to another legally valid dispute resolution mechanism.
